MiniCenter Terms of Service

1. Scope
These Terms govern the MiniCenter Platform Account, identity services, and shared platform capabilities. Each Project Client or Project Backend separately governs its memberships, products, orders, delivery, entitlements, and refund promises.
2. Registration and accounts
Self-registration is available only to people aged 18 or older. A Platform Account is a personal identity and may not be sold, loaned, shared, or transferred. Organization authority must be assigned through a Project Membership or Advertiser Membership. Account holders must take reasonable care of Credentials and promptly report suspected unauthorized access.
3. Acceptable use
The service may not be used for unlawful activity, fraud, infringement, harassment, impersonation, malicious code, unauthorized access, service interference, restriction evasion, payment or advertising manipulation, or unauthorized personal-data collection. Good-faith security research that follows the published reporting rules, avoids unnecessary access, causes no harm, and is promptly reported is not prohibited merely because it tests security.
4. Account-holder content
Account holders or Project Clients retain their rights in supplied content and grant only the non-exclusive permission needed to store, process, transmit, display, back up, secure, and provide the requested service. This permission does not authorize general-purpose AI training, content resale, or unrelated advertising.
5. Service, payments, and third parties
We use reasonable commercial efforts to maintain the service but do not promise uninterrupted, error-free, or permanent functionality. General Platform Accounts have no fixed uptime SLA. MiniCenter may process payments, while each Project Backend remains responsible for its products, Project Orders, Entitlements, delivery, and refund promises. A third party's own terms may also apply when an account holder actively chooses its login or payment interface.
6. Restriction, suspension, and termination
We may apply necessary restrictions for security risk, compromise, suspected fraud, illegality, infringement, abuse, harm, or a valid authority request. Urgent risks may be handled before notice; ordinary breach receives a reasonable opportunity to cure. Permanent termination requires an auditable reason and does not remove dispute, privacy-request, or Account Deletion routes.
7. Responsibility
To the extent permitted by law, we exclude responsibility for indirect or incidental losses that were not reasonably foreseeable. These Terms do not exclude intentional misconduct, gross negligence, personal injury, personal-data responsibility, Taiwan consumer protection, or any right that cannot legally be excluded. The general service has no fixed monetary liability cap.
8. Changes
Material changes normally receive 30 days notice. Legal, security, or anti-abuse emergencies may use a shorter period with a stated reason. Notice is not acceptance; only a version expressly requiring renewed acceptance may restrict general use after it becomes effective.
9. Law and disputes
Taiwan law governs these Terms. The parties may first contact legal@otus.tw; unresolved disputes use the Taiwan New Taipei District Court at first instance, without displacing mandatory consumer jurisdiction, complaints, or remedies. These Terms impose neither mandatory arbitration nor a collective-remedy waiver.
